Stock Footage Supplier Agreement

By accessing the Website you consent to have this Agreement provided to you in electronic form. If you object to anything in this Agreement do not use the Website or the Service. This agreement is between Stock Footage Market L.L.C. (herewithin “Stock Footage Market”) and the individual or company (herewithin “Supplier”) who is submitting and uploading stock footage video clips (herewithin “Footage”) to the Stock Footage Market website (www.stockfootagemarket.com).

The Supplier warrants that the Footage submitted and uploaded to the Stock Footage Market website fully meets the following conditions:

1. Supplier owns full copyright to all submitted Footage.

2. Supplier has all necessary rights and clearances for all submitted Footage.

3. Supplier warrants that the Footage submitted is not pornographic, defamatory, libelous or otherwise illegal, or brings harm to an individual, company or trademark.

4. Supplier is at least 18 years of age.

For clarity, Supplier retains all intellectual property rights and copyrights to the Footage that they submit to the Stock Footage Market website. However, by submitting Footage to Stock Footage Market, you hereby grant Stock Footage Market a non-exclusive, worldwide license to use, distribute and display the Footage on the Stock Footage Market website. Supplier agrees to submit and upload only watermarked Footage so as to help prevent unauthorized use by third parties. Supplier releases Stock Footage Market from any and all losses, costs, expenses, liabilities, claims, demands and damages, whether foreseen or unforeseen, whether known or unknown at any time whatsoever arising from any unauthorized use of Supplier’s Footage by a third party.

No Agency

Stock Footage Market is not a stock footage agency. The Stock Footage Market Website and Service is only a marketing and advertising venue for stock footage. All Footage sales, licensing, billings and transactions are handled directly between the Supplier and the stock footage buyer / licensee. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

Limitation of Liability

Stock Footage Market is not responsible for the accuracy, quality, availability, or intellectual property rights of any of the Footage that is featured on our Website. You will not hold Stock Footage Market responsible for other users' actions or inactions. You acknowledge that we are only a venue that allows stock footage Suppliers to market their stock footage collections to stock footage buyers / licensees. We are not involved in the actual licensing and sales transactions of Footage between Suppliers and stock footage buyers / licensees. We have no control over and do not guarantee the quality, availability, accuracy, legality or intellectual property rights / copyrights of the Footage featured on our Website. It is the responsibility of both the Supplier and the stock footage buyer / licensee to do their own due diligence regarding their Footage transactions, including but not limited to, issues of copyright, third party proprietary rights, privacy and publicity rights, model releases, property releases, trademarks, trade secrets and all financial issues such as billings and collection of payments. Stock Footage Market reserves the right to remove the Supplier’s Footage from the website for any reason, including but not limited to, technical issues, quality issues, copyright issues, excessive bandwidth issues or any issues regarding fraud. In no event shall Stock Footage Market, its officers, directors, employees, or agents, be liable to you for any direct, indirect, punitive, special or consequential damages whatsoever resulting from any mistakes or inaccuracies of the content on our Website or Service. In addition, Stock Footage Market shall not be liable for any personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Website or Service, including any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our Website by any third party.

Governing Law

This Agreement, and all claims, disputes, actions or proceedings arising out of or relating hereto or to the transactions contemplated hereby, shall be governed by, and construed in accordance with, the laws of the State of Oregon. Each party hereto irrevocably submits to the jurisdiction of the courts of Oregon, of any United States District Court located therein, and of any federal appellate court reviewing any decision of any such District Court. Each party hereto hereby irrevocably waives all right to trial by jury in any action, proceeding or counterclaim (whether based on contract, tort or otherwise) arising out of or relating hereto or to the transactions contemplated thereby. If any aspect or statement of this Agreement is judged unenforceable, the legality and enforceability of the other provisions of this Agreement will not be affected.
